TERMS + CONDITIONS

These terms and conditions govern the services provided by AP22 (we, us, our). By working with us or using our services, you (the client) agree to the terms outlined below.

2. Services

AP22 provides operational automation services, including:
• building custom ai employees
• designing and implementing ai workflows
• integration of automation tools and systems
• ongoing monthly support and refinement of ai workflows

We may update or add services at any time.

 
3. Payments and fees
 
3.1 Setup fee

Before work begins, the client pays a setup fee equal to two times the chosen monthly retainer.
This fee is required upfront and is non-refundable.

 
3.2 Monthly fees

After the setup fee, the client pays a monthly fee for ongoing support, maintenance, and access to their ai employees.
Monthly fees are non-refundable, regardless of usage or performance within the client’s organization.

 
3.3 Payment schedule

Work begins only after AP22 has received the initial setup payment.
Monthly fees are billed automatically unless agreed otherwise in writing.

 
4. Cancellations

Clients may cancel their subscription at any time with a one-month written notice.
Upon cancellation:
• access to ai employees and workflows ends when the final billing cycle finishes
• all automations, tools, workflows, and integrations provided by AP22 will be disabled
• the client does not retain ownership of any systems or intellectual property after cancellation

 
5. Intellectual property

AP22 retains full ownership of all ai employees, automation designs, workflows, templates, and systems created during the engagement.

The client receives a license to use these systems only for the duration of their subscription.
This license ends immediately upon cancellation or non-payment.
The client may not copy, resell, replicate, or transfer any part of the AP22 system.

 
6. Confidentiality

Both parties agree to keep all shared information confidential, including business processes, internal documents, data, and communication.

AP22 does not access client data outside of agreed workflows.
We only use information necessary to provide our services.

 
7. Client responsibilities

The client agrees to:
• provide accurate information needed for building and maintaining ai workflows
• verify the accuracy of all data used in automations
• ensure that automations are implemented responsibly within their organization

AP22 is not responsible for operational issues arising from inaccurate or incomplete information provided by the client.

 
8. Limitations of liability

AP22 is not liable for:
• business losses or damages resulting from the use or misuse of ai employees
• inaccuracies caused by incorrect or outdated client data
• delays caused by third-party tools, software limitations, or integration issues
• indirect or consequential damages of any kind

Our liability is limited to the total amount paid by the client in the preceding 30 days.

 
9. Termination

AP22 may suspend or terminate service if:
• payments are overdue
• the client violates these terms
• the client misuses ai systems or acts unlawfully

If service is terminated for any reason:
• access to ai workflows is removed
• licensing ends immediately
• no refunds are provided for partial periods

 
10. Changes to terms

AP22 may update these terms at any time. When terms change, the updated version will be posted on our website with a revised date. Continued use of our services indicates acceptance of the updated terms.
